Deceased Estates

Probate is the process that you may need to go through when someone has died and left a Will that names you as their Executor. It involves making an application to the Supreme Court of WA for a grant that provides the Executor with permission to deal with the Deceased’s estate.

Letters of Administration is a document provided by the Supreme Court of WA which is often required to collect and distribute the assets or property of a person who did not leave a will outlining what they would like done with their estate

We can provide a kind and compassionate approach to assisting Executors and Administrators obtain the necessary documentation to enable them to administer their loved one’s Estate.

 

Wills & Estate Planning

At Narpyn Law we offer clear and concise guidance around the drafting of both simple and complex Wills (including Testamentary Trusts and Special Disability Trust considerations), Enduring Powers of Attorney and Enduring Powers of Guardianship. Our comprehensive suite of legal offerings also includes Binding Death Benefit Nominations.

An integral part of the Will drafting process is getting to you know your clients, as preparing for your own demise is daunting and very confronting. Sarah understands this and takes her clients through the process with care and understanding.

For succession planning, Sarah has a real affinity with farming families, being a farmer’s wife herself. The nuances and subtle differences between each family (farming or not) are to be navigated with careful consideration and respect. Sarah would be happy to discuss your needs in whatever form and is always willing to have an informal discussion before an appointment is booked.

 

Business Sale & Purchase

Michael has broad and deep experience acting for buyers and sellers of businesses of all types, both large and small-medium. “Business Settlements” may sound simple, but there is considerable complexity involved, with commercial risks to both buyer and seller if due diligence is not clear and business purchase contracts (“SPAs”) are not properly formulated and executed. The content of SPAs various substantially between a “pro-seller” SPA and a “pro-buyer” SPA, and it is important you understand what these differences are and how they may affect you after your business sale/purchase has gone through.

 

Joint Venturing & Business Structures

Michael understands, both as an owner-operator and as a lawyer, how businesses actually work and make money. Even if you are, in effect, a sole owner/trader of your own business, you will still need to give considerable thought to the business structure that you wish to adopt and operate. Narpyn Law and your accountants can give you this advice. If you are contemplating going into business with one or more other partners, either as shareholding joint venturers, contractual joint venturers or as legal partners, you will need to have a clearly articulated set of governing documents and policies to ensure your and your business’ success – documents which will typically include ‘constituent’ agreements such as shareholder agreements, joint venture contracts and partnership agreements.

 

Mining Access - Farmer's Rights

Michael has deep experience acting in mining and exploration access agreements and arrangements in Western Australia, and since joining Narpyn Law Michael now acts exclusively for landholders (Farmers) whose land may be impacted by mining and exploration activities. Michael understands both the needs and requirements of Farmers, as well as understanding how mining and exploration companies operate, allowing Michael to deliver the best possible outcome for Farmers in their negotiations and contracts with mining groups.

 

Commercial Contracts

Michael and Sarah have between them 35 years’ experience in the drafting, negotiation, execution and management of complex commercial contracts. These contracts typically include mid-long term outsourcing contracts, complex commercial leasing and leaseback contracts, carbon-farming aggregator contracts and vendor-financing agreements.

 

Agribusiness Contracts

Narpyn Law are well placed to assist you in negotiating and drafting farm leases, preparing share farm agreements and family farm exemption transfers. In particular, the tax implications of share farming need to be made clear to farmers and with a collaborative approach from accountants, farm advisers and financial advisers, our clients can be confident that the commercial contracts prepared will meet their agri-business needs.

 

Trust Law

Sarah is experienced in reviewing Trust Deeds and ensuring that succession of the controlling positions within the Deeds are accurately provided. 

Of great practical assistance too is a Trust Schedule and accompanying mapping document which Sarah regularly prepares for her clients.  This document clearly and easily outlines which Trust owns what land and where that land is located.  Whilst this may sound simple, the terminology and reference of Certificates of Title do not always assist landowners in being able to clearly determine which parcel of land to which they refer.  Sometimes, this may mean the Trust Schedule has to include paddock references to particular land parcels to ensure totally clarity is achieved.  The Trust Schedule is a useful tool to make it clear to professional advisers where and how land is held and provides clients with a snapshot of their land holding entities.
